Terms and Conditions for Marketing Services
1. Scope of Services:

The Marketing Agency, hereinafter referred to as "the Agency," agrees to provide marketing services as outlined in the agreed-upon proposal or statement of work.
2. Client Responsibilities:

The Client agrees to provide necessary information, materials, and access required for the successful execution of marketing services.
3. Payment Terms:

Payment details, including fees, invoicing frequency, and payment methods, will be specified in the agreement. Late payment fees may be applicable for overdue payments.
4. Term and Termination:

The term of the agreement will be specified. Either party may terminate the agreement with written notice under certain circumstances, such as a material breach.
5. Intellectual Property:

The Agency retains ownership of intellectual property developed during the course of providing services unless otherwise agreed upon in writing.
6. Confidentiality:

Both parties agree to keep confidential information disclosed during the engagement confidential and not disclose it to third parties without prior written consent.
7. Representations and Warranties:

The Agency represents that services will be performed in a professional manner. The Client represents that it has the right to use any materials provided.
8. Indemnification:

Both parties agree to indemnify and hold each other harmless from any claims, damages, or liabilities arising out of the services or any breach of the agreement.
9. Limitation of Liability:

The Agency's liability is limited to the fees paid by the Client for the services. The Agency is not liable for any consequential or indirect damages.
10. Governing Law: - This agreement is governed by the laws of the UK. Any disputes arising under or in connection with this agreement shall be resolved through arbitration or the competent courts in the UK.
11. Amendments: - Any amendments to this agreement must be in writing and agreed upon by both parties.
12. Entire Agreement: - This agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether oral or written.
